This End User License Agreement ("Software License Agreement") is a legal document between you and PrimaryMind Soft Group. It is important that you read this document before using the ActualTime software ("Software") and any accompanying documentation, including, without limitation printed materials, 'online' files, or electronic documentation.

END USER LICENSE AGREEMENT

This End User License Agreement ("Software License Agreement") is a legal document between you and PrimaryMind Soft Group. It is important that you read this document before using the ActualTime software ("Software") and any accompanying documentation, including, without limitation printed materials, 'online' files, or electronic documentation.

BY CLICKING ON THE "ACCEPT" BUTTON, OPENING THE PACKAGE, DOWNLOADING THE SOFTWARE, OR USING THE EQUIPMENT THAT CONTAINS THIS SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "DECLINE" BUTTON AND THE INSTALLATION PROCESS WILL NOT CONTINUE. IN ADDITION: (1) IF YOU ARE OTHERWISE ATTEMPTING TO DOWNLOAD THE SOFWARE AND YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, DO NOT COMPLETE THE DOWNLOAD; OR, (2) IF YOUR SOFTWARE WAS INCLUDED IN EQUIPMENT WHICH YOU PURCHASED AND YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE.

You may use and distribute software according to this following License Agreement. If you do not agree with these terms, please remove the Software from your system. By incorporating the Software in your work or distributing the Software to others you implicitly agree to these license terms.

The Software is protected by copyright laws as well as other intellectual property laws and treaties. The Software and the accompanying documentation are licensed, not sold, to you.

You agree to use your best efforts to prevent and protect the contents of the Software and Documentation from unauthorized use or disclosure.

You may not rent, lease, sell or otherwise transfer or distribute copies of the Software to others, nor may you create derivative works of the Software. You may not modify the Software or Documentation without the prior consent of PrimaryMind Soft Group. You may not reverse engineer, reverse compile, disassemble, or otherwise attempt to create the source code from the Software. The Customer agrees that aspects of the licensed materials, including the specific design and structure of individual programs, constitute trade secrets and/or copyrighted material of PrimaryMind Soft Group. The Customer agrees not to disclose, provide, or otherwise make available such trade secrets or copyrighted material in any form to any third party without the prior written consent of PrimaryMind Soft Group. Customer agrees to implement reasonable security measures to protect such trade secrets and copyrighted material. Title to the Software and Documentation shall remain solely with PrimaryMind Soft Group.

You may make copies of the Software and Software License for backup purposes. You may physically transfer the Software, Documentation, and Software License from one computer to another provided that the Software License is only installed and used on one computer at a time. Except as expressly provided in this EULA, you may not otherwise make copies of the Software, including the printed materials accompanying the Software.

This license is effective until terminated. You may terminate this license at any time by destroying the Software, Documentation, and Software License Key as well as each backup copy. Without prejudice to any other rights, PrimaryMind Soft Group may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software and all of its component parts. This license automatically terminates if you fail to comply with its terms and conditions.

You agree that PrimaryMind Soft Group may audit your use of the Software for compliance with these terms at any time, upon reasonable notice. In the event that such audit reveals any use of the Software by you other than in full compliance with the terms of this Agreement, you shall reimburse PrimaryMind Soft Group for all reasonable expenses related to such audit in addition to any other liabilities you may incur as a result of such non-compliance.

Your license rights under this EULA are non-exclusive.

ENGAGING IN ANY OF THE ACTIVITIES LISTED BELOW WILL TERMINATE THE SOFTWARE LICENSE. IN ADDITION TO SOFTWARE LICENSE TERMINATION, PRIMARYMIND SOFT GROUP MAY PURSUE CRIMINAL, CIVIL, OR ANY OTHER AVAILABLE REMEDIES.

1. Distribution of any exe-files contained in this software package.

2. Modification, decompilation, disassembly, reverse engineering of the Software.

3. Removal of proprietary notices, labels or marks from the Software or Software Documentation.

4. Inclusion of the Software in a development environment, ERP or CRM-systems.

In these cases you need other type of license.

NEITHER PRIMARYMIND SOFT GROUP NOR ITS SUPPLIERS SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION OR THE LIKE), ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SOFTWARE AND BASED ON ANY THEORY OF LIABILITY INCLUDING BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF PRIMARYMIND SOFT GROUP OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

You may not remove or alter any trademark, trade names, product names, logo, copyright or other proprietary notices, legends, symbols or labels in the Software. This EULA does not authorize you to use PrimaryMind Soft Group's or its Licensor's names or any of their respective trademarks.

DISCLAIMER OF WARRANTY FOR SOFTWARE. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, PRIMARYMIND SOFT GROUP DISCLAIMS ALL IMPLIED WARRANTIES FOR THE SOFTWARE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PRIMARYMIND SOFT GROUP MAKES NO REPRESENTATIONS CONCERNING THE QUALITY OF THE SOFTWARE AND DOES NOT PROMISE THAT THE SOFTWARE WILL BE ERROR FREE OR WILL OPERATE WITHOUT INTERRUPTION.

PrimaryMind Soft Group has and will retain all ownership rights in the Software, including all patent rights, copyrights, trade secrets, trademarks, service marks, related goodwill and confidential and proprietary information. Licensee will have no rights in the Software except as explicitly stated in this Agreement.

LICENSEE HAS READ THIS AGREEMENT AND UNDERSTANDS AND AGREES TO ALL OF ITS TERMS AND CONDITIONS.

All rights not expressly granted here are reserved by PrimaryMind Soft Group.
